Palmstone Capital advises companies, shareholders, boards, acquirers, and commercial counterparties on privately negotiated M&A, secondary share sales, debt, and strategic transactions. The services are corporate finance and transaction advisory services and are governed by a written engagement.

Palmstone Capital does not accept deposits, hold client money or assets, provide payment services, extend credit as principal, manage investments, execute client orders, operate a trading venue, or provide personal investment recommendations. Where a transaction requires a regulated activity, that activity must be performed by an appropriately authorised party or addressed under engagement terms permitted by applicable law.

Palmstone Capital provides corporate finance advisory services, namely mergers and acquisitions advisory and the arranging of debt financing. It does not carry on banking business, does not provide regulated investment services, and does not deal in, arrange deals in, underwrite, or place securities; it provides no equity capital markets or securities placement services. Accordingly, Palmstone Capital is not required to be, and is not, authorised or regulated as a bank or investment firm in the jurisdictions in which it operates. Nothing on this website constitutes an offer or solicitation to buy or sell any security.

This attribution of communications is separate from, and does not alter, the contracting entity identified in any signed agreement. Offices in the United Kingdom or Cyprus do not issue or accept such communications on behalf of Palmstone Ventures LLC.

This does not restrict any mandatory method of service that cannot lawfully be varied. Notices under a signed engagement must additionally follow the notice clause in that agreement.

Outbound marketing and business development communications are conducted by Palmstone Ventures LLC from the United States. Palmstone Group Limited and other Palmstone group companies are not responsible for, and are not appointed to receive formal notices concerning, those communications.

Formal notices, objections, claims, or other legal communications concerning outbound marketing must be addressed to Palmstone Ventures LLC at 1309 Coffeen Avenue, Sheridan, WY 82801, United States, with a copy to legal@palmstone-capital.com. Delivery to another Palmstone entity, office, employee, or address does not constitute notice to or service upon Palmstone Ventures LLC and will not be treated as valid notice, except to the extent mandatory applicable law provides otherwise.

No other Palmstone entity or office is authorised to accept service, waive rights, make admissions, or bind Palmstone Ventures LLC in relation to outbound communications.
